CSR Registration
Corporate Social Responsibility (CSR) is a legal mandate under Section 135 of the Companies Act, 2013. It requires eligible companies to contribute a portion of their profits toward societal welfare. To facilitate this, non-profits, charitable trusts, and Section 8 companies must undergo a mandatory registration process to be eligible to receive these funds.
What is CSR Registration?
CSR Registration is the formal process of registering an organisation with the Ministry of Corporate Affairs (MCA) by filing Form CSR-1. This registration serves as a vetting mechanism to ensure that recipient organisations are credible, transparent, and capable of utilising corporate funds for social impact.
The CSR Registration Process
The transition from a charitable entity to a CSR-eligible organisation involves five key stages:
- Eligibility Verification: Confirm that the entity (NGO, Trust, or Section 8 Company) is engaged in activities defined under Schedule VII of the Companies Act, 2013.
- Document Preparation: Compilation of statutory certificates, governing body details, and the Digital Signature Certificate (DSC) of the authorised signatory.
- Electronic Filing: Submission of Form CSR-1 through the MCA official portal.
- Verification and Approval: The MCA reviews the application. Upon successful verification, a unique CSR Registration Number is generated systemically.
- Ongoing Compliance: Post-approval, organisations must maintain rigorous records of fund utilisation as per the Companies (CSR Policy) Rules, 2014.
Mandatory Documentation
To ensure an efficient filing process, the following documents must be prepared:
- Registration Proof: Certificate of Incorporation or Registration Certificate of the NGO/Trust.
- Tax Identifiers: PAN Card of the Organisation.
- Signatory Authentication: A valid Digital Signature Certificate (DSC) of the authorised representative.
- Governing Body Profiles: PAN, contact details, and addresses of all trustees, directors, or governing members.
- Tax Exemptions: Valid 12A and 80G registrations (where applicable).
- Constitutional Documents: Copy of the Trust Deed or Memorandum of Association (MOA) defining the entity's objectives.
Timeline: The registration process typically concludes within 10–15 working days, depending on the accuracy of the documentation and MCA processing speeds.
Why Registration is Essential
- Legal Compliance: Companies are prohibited from donating CSR funds to unregistered entities; doing so may result in legal penalties.
- Enhanced Transparency: Registration validates the organisation's legitimacy to potential corporate donors.
- Structured Social Impact: It allows for a formal framework in executing large-scale social projects.
- Corporate Trust: Holding a CSR Registration Number significantly improves an NGO’s ability to secure long-term corporate partnerships.
